Project Scope and Changes
Project timelines and estimates are based on the information available at the time of proposal.
Changes to requirements, features, integrations, deliverables, or project objectives may require:

eSketchers is not responsible for delays caused by incomplete client feedback, unavailable stakeholders, changing requirements, or third-party dependencies.
Intellectual Property
Unless otherwise specified in a signed agreement:
Client-Owned Materials
The client retains ownership of:
- Brand assets
- Business data
- Documentation provided by the client
- Existing proprietary systems
eSketchers-Owned Materials
eSketchers retains ownership of:
- Internal frameworks
- Development methodologies
- Reusable code libraries
- Automation scripts and accelerators
- Proprietary AI models, tools, and pipelines
- Internal processes
Custom Deliverables
Ownership of custom-developed deliverables transfers to the client only after all agreed payments have been received in full, unless otherwise stated in writing.
Open-Source Components
Many modern software solutions rely on open-source technologies. Projects delivered by eSketchers may include open-source software governed by separate licenses. Clients agree to comply with the applicable terms of those licenses.
Artificial Intelligence Services
eSketchers specializes in building and deploying AI systems for enterprise and commercial use. Where AI technologies are involved, clients acknowledge that:
- AI-generated outputs may contain inaccuracies and require human review and oversight.
- AI system performance can vary depending on training data, model versions, and usage conditions.
- Regulatory requirements related to AI — including data privacy, bias, and explainability — may evolve and vary by jurisdiction.
- Clients are responsible for ensuring appropriate use of AI outputs in their own business context.
eSketchers does not guarantee that AI-generated outputs will be error-free, legally compliant in every jurisdiction, or suitable for all business decisions without review.
Cloud and Infrastructure Services
Where cloud services are provided:
- Clients remain responsible for cloud subscription fees unless otherwise agreed.
- Service availability may depend on third-party cloud providers (e.g., AWS, Azure, Google Cloud).
- eSketchers cannot guarantee the uninterrupted availability of third-party infrastructure.
- Security responsibilities may be shared between the client, cloud provider, and eSketchers depending on the engagement model.
Confidentiality
We treat client information with strict confidentiality. Both parties agree not to disclose confidential business, technical, financial, or operational information received during an engagement unless:
- Required by law.
- Authorized in writing.
- Necessary for project execution through approved subcontractors or partners.
Confidentiality obligations survive the termination of the engagement.
Data Privacy

Payments
Clients agree to pay invoices according to the agreed payment schedule. Late payments may result in:

eSketchers reserves the right to withhold deliverables until outstanding balances are settled.
Warranties
eSketchers warrants that services will be performed in a professional and commercially reasonable manner consistent with industry standards.
Except for this limited warranty, all services are provided “as is.” We do not guarantee:
- Specific business outcomes or revenue growth
- Regulatory approvals or market adoption
- Continuous uptime of third-party services
- That AI outputs will be free from errors or biases
Limitation of Liability
To the fullest extent permitted by law, eSketchers shall not be liable for:

- Indirect, consequential, or special damages
In no event shall eSketchers’ total liability exceed the amount paid by the client for the services giving rise to the claim.
Third-Party Services
Our solutions may integrate with third-party platforms, including cloud providers, payment gateways, AI platforms, analytics tools, and external APIs. eSketchers is not responsible for service outages, pricing changes, security incidents, feature deprecations, or policy changes caused by third-party providers.
Governing Law and Dispute Resolution
These Terms and any disputes arising from them shall be governed by and construed in accordance with applicable commercial law. Disputes shall first be attempted to be resolved through good-faith negotiation between the parties.
Clients engaging eSketchers through specific regional offices (UAE, United States, or Pakistan) may be subject to jurisdiction-specific terms as outlined in their project agreements. In the absence of a specific governing law clause in a signed agreement, disputes will be subject to the jurisdiction of the courts relevant to the eSketchers entity managing the engagement.
Termination
Either party may terminate an engagement in accordance with the governing agreement. Upon termination:
- Outstanding invoices become immediately payable.
- Completed work remains subject to ownership provisions.
- Confidentiality obligations remain in effect.
Updates to These Terms
We may update these Terms periodically to reflect changes in our business, technology landscape, legal requirements, or service offerings. Updated versions become effective upon publication on this website. Continued use of our services after updates constitutes acceptance of the revised Terms.
